Terms of Service

You must be able to form a binding contract in your jurisdiction to use the Services. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. You are responsible for all activity under your account and for maintaining the security of your credentials.

StickReel provides tools and automation to help users create short-form video content (for example scripts, voiceover, visuals, subtitles, and export formats suitable for platforms such as YouTube Shorts, TikTok, and Instagram Reels). Features may change, and some capabilities may be offered in beta, early access, or waitlist form. We may suspend or discontinue any part of the Services with reasonable notice where practicable.

You agree not to:

• Use the Services in violation of law or third-party rights, including intellectual property, privacy, and publicity rights.
• Generate, distribute, or promote unlawful, fraudulent, hateful, harassing, violent, or sexually exploitative content, or content intended to deceive or mislead.
• Attempt to probe, scan, or test the vulnerability of our systems, or circumvent access controls, rate limits, or security features.
• Reverse engineer, resell, or scrape the Services in bulk except as allowed by applicable law.
• Use the outputs of the Services to train competing machine-learning models without our prior written consent.

You retain rights to content you submit to the Services ("Your Content"). To operate and improve the Services, you grant StickReel a non-exclusive, worldwide, royalty-free license to host, process, reproduce, display, and create derivative works from Your Content solely as needed to provide, secure, and improve the Services, and as described in our Privacy Policy.

You represent that you have all rights necessary to submit Your Content and that Your Content does not violate these Terms. We may remove content or suspend access if we reasonably believe it violates the law or these Terms.

The Services, including software, branding, and documentation, are owned by StickReel or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted here, no rights are transferred to you.

The Services may integrate with or reference third-party APIs, hosting providers, AI models, analytics, and social platforms. Your use of those services may be subject to separate terms from the respective providers. We are not responsible for third-party services or for moderation or monetization decisions by destination platforms.

Certain features may be free, paid, or offered as part of a trial or promotion. If you purchase a subscription or consumable credits, fees and renewal terms will be presented at checkout. Unless required by law, payments are non-refundable except at our discretion or as stated at the time of purchase.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE SUITABLE FOR ANY PARTICULAR USE. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE PUBLICATION AND FOR COMPLYING WITH PLATFORM POLICIES AND APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STICKREEL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO STICKREEL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED US DOLLARS (USD $100), IF NO FEES APPLIED.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend and indemnify StickReel and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law. Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive.

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we will provide additional notice as appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws applicable to StickReel's operating entity, excluding conflict-of-law rules. Courts in that jurisdiction will have exclusive venue, subject to mandatory consumer protections in your country of residence where applicable.
